This Film and Content Submission Revenue Sharing Agreement (the Agreement) is entered into between Kora Stream Africa, referred to as Kora or the Platform, and the filmmaker, producer, production company, distributor or authorised content owner submitting the Content, referred to as the Producer.

By submitting Content and accepting this Agreement electronically, the Producer confirms that they have read, understood and agreed to all terms below.

1. Purpose

This Agreement permits Kora to publish, stream, promote and monetise approved Content on the Kora Stream Africa platform. The Producer retains ownership of the Content, subject to the licence granted to Kora under this Agreement.

2. Submitted Content

Content means the film, short film, series, documentary, animation, audiobook, trailer, poster, subtitles, promotional artwork, music cue sheet and related materials submitted by the Producer. Each approved title will be linked to this Agreement unless the parties sign a separate written agreement for that title.

Submission does not guarantee approval, publication, homepage placement, promotion, monetisation or any minimum number of views.

3. Ownership and Authority

The Producer confirms that:

• The Producer owns the Content or has full legal authority to license it to Kora.

• All necessary permissions, releases and licences have been obtained.

• The Content does not unlawfully infringe copyright, trademark, privacy, publicity or other third-party rights.

• All performers and contributors have authorised their appearances or performances.

• All music, sound recordings, photographs, artwork, footage and other materials are properly licensed.

• The information supplied to Kora is truthful and complete.

• No other agreement prevents Kora from using the Content as authorised here.

Kora may request supporting documents, including performer releases, music licences, ownership records, distribution authority and music cue sheets.

4. Licence Granted to Kora

The Producer grants Kora a non-exclusive, worldwide licence during the Term to:

• Host, store, encode, transmit and stream the Content.

• Make it available through Kora's website, applications and approved distribution services.

• Create technical versions required for different devices, screen sizes and internet speeds.

• Display the title, synopsis, credits, poster, trailer and related promotional materials.

• Use reasonable clips, excerpts and still images to promote the Content and the Platform.

• Include the Content in categories, collections, recommendations and promotional campaigns.

• Monetise the Content through advertising, sponsorship, subscriptions, rentals, pay-per-view or other approved methods.

Kora may edit promotional descriptions, thumbnails or technical files for formatting, accuracy, accessibility and platform presentation. Kora may not materially change the story or meaning of the Content without the Producer's permission.

5. Monetization and Revenue Share

Kora Stream Africa operates a transparent 70/30 revenue-sharing model for eligible Content monetized through the Platform.

Revenue generated directly from the Producer's Content through:

- AVOD — Advertising Video on Demand

- SVOD — Subscription Video on Demand

- TVOD — Transactional Video on Demand

- Content-specific sponsorships

will be shared as follows:

70% — Producer / Rights Holder 30% — Kora Stream Africa

For sponsorships, the revenue share applies where the sponsorship, brand placement, sponsored screening, sponsored programme, advertising arrangement, or other commercial activity is directly attributable to the Producer's specific title or Content.

General sponsorships, partnerships, advertising arrangements, or commercial agreements entered into for the promotion, operation, development, or support of Kora Stream Africa as a Platform do not automatically form part of the Producer's revenue share unless otherwise agreed in writing.

All revenue sharing remains subject to the applicable payment, reporting, qualified-view, deduction, and other provisions of this Agreement.

Kora's share contributes towards platform hosting, streaming infrastructure, administration, content management, customer support, reporting, security, marketing and platform development.

6. Eligible Net Revenue

Eligible Net Revenue means money actually received and cleared by Kora that can reasonably be attributed to the Content, after deducting only applicable VAT and legally required taxes, payment-processing charges, refunds, chargebacks, fraudulent or invalid transactions, and direct third-party advertising or distribution commissions required to earn or collect that revenue.

Kora's ordinary operating expenses will be covered by Kora's 30% share and will not be deducted again from the Producer's 70% share. Revenue that cannot reasonably be attributed to a single title may be allocated using Kora's documented method, which may consider qualified views, watch time, completion, subscription activity or other genuine engagement data.

7. Qualified Views

A playback start does not automatically qualify as a revenue-generating view. Unless another rule is disclosed in writing, a qualified view is recorded when a signed-in viewer watches at least 60 seconds or at least 10% of the Content's total duration, whichever qualification point is reached first.

Up to five payable qualified views per registered member, per title, within a 24-hour period may be counted.

Automated, duplicated, manipulated, fraudulent, or suspicious viewing activity does not qualify. Kora Stream Africa may investigate unusual viewing activity and correct, exclude, or adjust inaccurate or invalid figures where necessary.

8. Statements and Payments

PRODUCER ANALYTICS AND REPORTING

Kora Stream Africa will provide the Producer or Rights Holder with relevant content performance and revenue analytics relating to their Content.

Where applicable, analytics may include:

- playback starts

- eligible or qualified views

- unique viewers

- viewing activity

- watch time

- completion rate

- engagement

- monetization performance

- Eligible Net Revenue

- revenue attributable to the Producer's Content

- the Producer's applicable revenue share

- other relevant reporting information available through the Platform

Analytics and revenue reports remain subject to Kora Stream Africa's verification procedures and Platform reporting systems.

QUARTERLY PAYMENTS AND MINIMUM PAYMENT THRESHOLD

Revenue payments to the Producer or Rights Holder will be processed quarterly, provided that the Producer has reached the minimum payment threshold of US$10 during the applicable quarterly reporting period.

Where the minimum payment threshold has been met, the Producer or Rights Holder will be eligible to receive the applicable revenue share in accordance with the payment terms of this Agreement.

If the Producer's payable balance has not reached US$10 by the end of the applicable quarter, the unpaid eligible balance will carry forward to a subsequent reporting period until the minimum payment threshold is reached.

Where the minimum payment threshold has been met, payments will be processed within 30 days after the end of each calendar quarter, provided that Kora has received and cleared the applicable revenue and the Producer has supplied valid banking/payment and applicable tax information.

The Producer is responsible for applicable taxes. Kora may temporarily withhold a disputed amount while investigating suspected fraud, ownership disputes, chargebacks or legal claims. Undisputed amounts remain payable when due.

9. Producer Marketing Responsibilities

The Producer or Rights Holder is responsible for actively promoting their own Content and directing audiences to view it on Kora Stream Africa.

The Producer agrees to actively promote the Content on all active social-media accounts owned or controlled by the Producer or production company. For every published title, the Producer must, where reasonably possible:

• Publish at least one official launch announcement when the title becomes available on Kora.

• Publish at least two reminder posts during the first 30 days after release.

• Include the official Kora viewing link supplied for the title.

• Tag or mention Kora Stream Africa where the platform permits it.

• Use approved posters, trailers, clips, captions or promotional materials.

• Encourage audiences to watch the Content legally on Kora.

• Avoid false claims about views, income, awards, exclusivity or Kora's services.

The Producer does not guarantee a particular number of views, subscribers or sales, but must make genuine and reasonable promotional efforts. Repeated failure may result in reduced discretionary promotion, removal from featured positions or termination of future promotional campaigns after reasonable notice. Kora may not withhold revenue already genuinely earned solely because of a marketing failure.

10. Kora Promotional Activities

Kora Stream Africa promotes the Platform as a whole and does not guarantee an individual marketing campaign, promotional placement, advertising campaign, or specific level of promotion for any particular title.

Kora may, at its discretion, feature or highlight selected Content through Platform discovery surfaces, collections, recommendations, editorial placements, social-media activity, or other promotional opportunities. Such activity does not create a contractual obligation to promote any particular title.

11. Content Review and Publication

Kora may approve, reject, postpone or classify Content based on technical quality, editorial suitability, copyright concerns, age classification, platform standards, legal requirements, viewer safety or incomplete or misleading information. The Producer must not advertise Content as available on Kora before it is approved and published.

PUBLICATION TIMELINE

Following acceptance of the Content, and once all required materials, metadata, artwork, documentation, rights information, and technical delivery requirements have been received and approved by Kora Stream Africa, the Content is expected to be published on the Platform within 4 to 8 weeks.

The 4-to-8-week publication period will commence only once Kora Stream Africa has confirmed that the submission is complete and that no outstanding materials, information, corrections, or delivery requirements remain.

Submission or acceptance of a title does not mean that the publication period has started if required delivery materials remain outstanding.

12. Content Standards

The Producer must accurately disclose strong language, violence, sexual content or nudity, drug use, disturbing scenes, content involving children, flashing lights and other relevant viewer warnings. Kora may apply ratings, age restrictions, warnings and parental controls. Content intended for Kora Kids requires separate approval as suitable for children and families.

13. Copyright Complaints and Third-Party Claims

If Kora receives a credible copyright, ownership, privacy or legal complaint, Kora may temporarily suspend or remove the affected Content while investigating. The Producer must cooperate and provide supporting evidence within a reasonable period.

The Producer is responsible for claims, losses or reasonable costs arising from a breach of the Producer's ownership and licensing warranties, except where the claim results from Kora using the Content outside the rights granted by this Agreement.

14. Five-Year Term

This Agreement begins when the Producer accepts it electronically and Kora approves the submitted Content. The Content is licensed to Kora for a fixed period of five years, calculated from the date it is first published on the Platform.

During the five-year Term, Kora may host, stream, promote and monetise the Content under this Agreement. The Producer may not withdraw the Content before the Term expires unless Kora agrees in writing, both parties mutually agree, Kora materially breaches this Agreement and fails to correct the breach within 30 days after written notice, or continued distribution becomes unlawful or is prohibited by a court, regulator or verified rights holder.

Kora may suspend or remove the Content during the Term in accordance with Section 15 (Content Removal, Suspension and Termination).

At least 60 days before expiry, Kora may invite the Producer to renew. Renewal requires written or electronic acceptance by both parties. If not renewed, Kora will remove the Content within a reasonable technical period after expiry. Revenue genuinely earned before removal remains payable under the 70/30 split.

15. Content Removal, Suspension and Termination

Kora Stream Africa reserves the right, at its sole discretion, to remove, suspend, restrict, or temporarily make unavailable any title from the Platform at any time, with or without prior notice to the Producer or Rights Holder.

Such action may be taken for legal, rights, technical, editorial, platform, policy, security, operational, or other legitimate business reasons.

Removal or suspension of a title does not automatically terminate this Agreement unless Kora Stream Africa confirms termination in accordance with the applicable provisions of this Agreement.

Any Eligible Net Revenue genuinely earned before removal remains subject to the applicable revenue-sharing and payment provisions of this Agreement.

When the Agreement ends, Kora will stop offering the Content within a reasonable technical period. Promotional materials may temporarily remain in cached pages, reports or archives. Accrued revenue remains payable. Ownership, unpaid revenue, dispute, confidentiality and liability provisions continue where necessary.

16. Independent Parties

This Agreement does not create employment, agency, a joint venture or a legal partnership between Kora and the Producer. Each party operates independently and is responsible for its employees, contractors, taxes and expenses.

17. Confidentiality

Non-public financial reports, payment information, passwords, platform data and confidential business information must not be disclosed to unauthorised persons. The Producer may share their own earnings information but may not access or disclose another producer's private information.

18. Data Protection

Kora may process the Producer's personal and business information for account administration, identity and ownership verification, content management, reporting, payments, legal compliance and platform communication. Information will be handled under Kora's Privacy Policy and applicable South African data-protection law.

19. No Guaranteed Results

Kora does not guarantee a minimum number of views, minimum revenue, homepage placement, advertising income, sponsorship, uninterrupted availability or acceptance of every submission. Kora will make reasonable efforts to maintain reliable access, accurate reporting and secure delivery.

20. Changes to this Agreement

Kora may update this Agreement when required by law, technology, platform development or changes to monetisation. Material changes affecting an existing Producer's revenue share or licensing rights must be communicated before taking effect. The version accepted for each submission must be recorded, and a Producer may be required to accept a new version for future submissions or materially changed terms.

21. Notices

Formal notices may be sent electronically to each party's registered email address. The Producer must keep contact and banking information current. Notices to Kora may be sent to info@streamkoraafrica.com or through https://streamkoraafrica.com.

22. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of South Africa. The parties should first try to resolve disputes through good-faith written discussions. If no resolution is reached, either party may pursue remedies available under South African law.

23. Electronic Acceptance

The Producer confirms that electronic acceptance is intended to have the same effect as signing a written agreement. Kora may record the Producer's account ID, legal name, company, email address, submission ID, Agreement version, acceptance date and time, and acceptance confirmation. The Producer should download or save a copy for their records.
